To incorporate a company in Poland, particularly a limited liability company (Sp. z o.o.), specific documents must be prepared and submitted to the National Court Register (KRS). The most important document is the Articles of Association, which outlines the company's name, registered office, scope of activities, share capital, and ownership structure. This must be signed in the presence of a notary or submitted through the official online system (S24) if using standard templates.

Founders must also prepare a declaration confirming the establishment of the company and a list of all shareholders, detailing their personal information and share distribution. The appointment of the management board must be documented, and board members need to provide signatures—typically certified by a notary—to be used officially on behalf of the company.

Additionally, proof of payment of the required minimum share capital (5,000 PLN) is needed. Once the application is filed with the KRS, the company will automatically be assigned a tax identification number (NIP) and statistical number (REGON).
